Some entities are legally structured in a way that conflicts with the responsibilities of a real estate broker. If you try to register one of these as a brokerage, the DBPR will reject it.Corporation Sole - This is usually a church or religious organization. It is designed for religious leadership, not for selling houses. Do not confuse this with a standard Corporation.Joint Venture - A temporary agreement between two parties to do one specific project (e.g., "Let's build this one tower together"). Why prohibited: A brokerage is meant to be an ongoing business, not a temporary project. (Note: A Joint Venture can broker real estate, but it cannot register as a brokerage entity itself).Business Trust - An investment group (like Real Estate Investment Trust) that buys and holds assets. It is not designed to provide brokerage services to the public.Cooperative Association - A business owned and run by its members (like a co-op building, grocery store or utility).Unincorporated Association - A loosely organized group of people, like a neighborhood beautification committee or a PTA. They have no formal legal status to handle liability.
